Terms of Service

These Terms of Service ("Terms") govern the access to the digital catalog, factory portfolio, and the provision of apparel manufacturing services by Outtak apparel manufacturer and exporter ("Company," "we," "us," or "our") to you ("Client," "Brand," or "you"). By engaging our services, submitting tech packs, or using our website, you agree to be bound by these Terms.

1. Digital Catalog & Manufacturing Services

Outtak apparel manufacturer and exporter acts as a premier apparel manufacturer, providing a digital portfolio to showcase our factory capabilities. We offer garment sampling, material sourcing, and bulk production services. We reserve the right to accept or decline production requests based on factory capacity, Minimum Order Quantities (MOQs), and technical feasibility.

2. Client Responsibilities & Submissions

To ensure accurate sampling and high-quality bulk production, the Client is strictly responsible for:

• Accuracy of Tech Packs: Providing complete and accurate technical design files, graded measurements, and clear construction details.
• Intellectual Property: Ensuring you hold the legal rights, licenses, or copyrights for any designs, logos, or brand assets submitted for production.
• Material Specifications: Clearly detailing fabric composition, GSM, color codes (Pantone), and trim requirements prior to sample development.
• Sample Approvals: Thoroughly reviewing and officially approving physical samples or digital strike-offs before we commence bulk manufacturing.

3. Quotations, MOQs & Rates

Production quotations are based on the specific garment complexity, requested materials, and projected volume at the time of issuance. Quotes are subject to change due to fluctuations in raw material costs, currency exchange, or if the Client alters the design specifications after the initial estimate. Quotes do not include international shipping, customs duties, or taxes unless explicitly stated.

4. Quality Assurance & Liability

Outtak apparel manufacturer and exporter is committed to delivering high-quality garments aligned with your approved samples. Our liability is structured around industry manufacturing standards.

• Defect Tolerance: We operate within standard commercial tolerance levels for sizing and color variance as agreed upon during the pre-production phase.
• Limitation of Liability: Our liability for defective garments is strictly limited to the repair, replacement, or refund of the specific defective units, provided they are reported within the agreed inspection period.
• Force Majeure: We are not liable for production or shipping delays caused by acts of God, supply chain disruptions, strikes, or governmental actions.

5. Payment & Production Terms

Unless otherwise agreed in a master manufacturing agreement, payment for sampling must be cleared prior to development. For bulk production, a standard non-refundable deposit is required before the cutting phase begins, with the remaining balance due upon completion and before the release of goods to the freight forwarder or courier.

6. Governing Law & Jurisdiction

These Terms and any dispute arising from our manufacturing services or digital catalog shall be governed by and construed in accordance with the laws of the jurisdiction in which Outtak apparel manufacturer and exporter's primary factory or headquarters is located, without giving effect to any choice or conflict of law provisions.
